1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("you", "User", "Subscriber") and [COMPANY_NAME] ("MergeUi", "we", "us"), registered at [COMPANY_ADDRESS]. By creating an account, accessing, browsing, downloading, or otherwise using mergeui.com and any related services (the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you enter into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

2. Description of Service

MergeUi is a subscription-based digital product that provides HTML/CSS dashboard templates, UI components, design tokens, and related assets (collectively, "Templates") for use by developers, designers, and organizations. Templates are delivered as downloadable archive files. New Templates and updates may be released from time to time; availability of any specific Template is not guaranteed and may change without notice.

The Service does not include custom development, bespoke design work, hosting of the User's own applications, or one-on-one implementation support, unless expressly agreed in writing.

3. Eligibility and Account

3.1 Age Requirement

You must be at least 16 years of age (or the age of digital consent in your jurisdiction, whichever is higher) to create an account. The Service is not directed at children.

3.2 Registration

You may register using email, GitHub OAuth, or Google OAuth. You agree to provide accurate, current, and complete information and to keep it updated. Each account is intended for a single individual or legal entity; credential sharing outside your licensed seat count is prohibited.

3.3 Account Security

You are solely responsible for safeguarding your credentials and for all activities under your account. Notify us immediately at support@mergeui.com of any unauthorized use.

4. Subscription Plans and Billing

4.1 Plans

MergeUi offers a Free plan with limited access and a Pro plan at US$19 per month or US$149 per year. Features of each plan are described on the Pricing page and may be updated from time to time.

4.2 Payment Processor — Lemonsqueezy

All payments are processed by Lemonsqueezy, which acts as the Merchant of Record (MoR). Lemonsqueezy is responsible for tax collection (VAT, GST, US sales tax) and for issuing invoices. Your card details are handled entirely by Lemonsqueezy and are never stored on MergeUi servers.

4.3 Auto-Renewal

Paid subscriptions renew automatically at the end of each billing period (monthly or annual) using your saved payment method, unless canceled before renewal. You authorize Lemonsqueezy to charge the applicable fee each period.

4.4 Price Changes

We may change subscription prices at any time. Material price changes will be communicated by email at least 30 days in advance and will apply only to the billing period following the notice.

4.5 Taxes

Prices are displayed in US dollars and are exclusive of any applicable taxes, duties, or currency conversion fees, which Lemonsqueezy will collect and remit in the relevant jurisdictions.

5. License Grant

5.1 Grant

Subject to your compliance with these Terms and payment of applicable fees, MergeUi grants you a worldwide, non-exclusive, non-transferable, non-sublicensable, revocable license to download, modify, and use the Templates as follows.

5.2 Personal Use (Free Plan)

The Free plan license permits use of the single preview Template made available under that plan for personal, non-commercial purposes (e.g., learning, portfolios, hobby projects). You may not use Free-plan Templates in revenue-generating products or client deliverables.

5.3 Commercial Use (Pro Plan)

An active Pro subscription grants a commercial-use license to use all Templates in an unlimited number of end products (including SaaS applications, internal tools, and client projects) that you or your employer own or are authorized to deliver. The license covers the subscriber named on the account plus team members up to any seat limit described on the Pricing page.

5.4 Perpetual-Use of Downloaded Files

If your Pro subscription ends for any reason, you may continue to use Templates already downloaded during your active subscription in end products shipped during that period. You will lose access to new Templates, updates, and re-downloads.

6. Prohibited Uses

You may not, and may not permit any third party to:

  1. resell, relicense, sublicense, or redistribute the Templates, in whole or substantially similar form, as a standalone template, UI kit, theme, or design asset product, including on marketplaces, GitHub, or any other channel;
  2. make the raw Template source files publicly available in a way that allows third parties to download them without a MergeUi license;
  3. use the Templates to train, fine-tune, or evaluate any machine-learning model, including generative AI systems;
  4. remove, obscure, or alter any copyright, trademark, or proprietary notices contained in the Templates;
  5. use the Service or Templates for any unlawful, infringing, harassing, defamatory, or harmful purpose, or in any way that violates export controls or sanctions;
  6. circumvent, disable, or otherwise interfere with security or access-control features of the Service;
  7. scrape, crawl, or use automated means to access the Service at a rate that degrades performance for other users.

7. Intellectual Property

MergeUi and its licensors retain all right, title, and interest, including all intellectual property rights, in and to the Service, the Templates, the MergeUi brand, and all related materials. These Terms grant you only the license expressly set out in Section 5 and no other rights. Feedback you provide about the Service may be used by MergeUi without restriction or compensation.

Every deliverable shipped to subscribers is reviewed, tested, and approved by a human team member before release. This disclosure is provided for trust and informational purposes; it does not create any additional legal obligations beyond those set out elsewhere in these Terms.

9. Refund Policy

Because Templates are digital goods delivered instantly upon subscription activation, you acknowledge and expressly consent that performance of the contract begins immediately and, in accordance with Article 16(m) of EU Directive 2011/83/EU, you waive your 14-day right of withdrawal to the extent the digital content has already been supplied.

Notwithstanding the above, MergeUi offers a goodwill refund policy covering duplicate charges, failed or corrupted downloads, and other exceptional circumstances. Full details are available in our Refund Policy and reproduced on the billing confirmation page.

10. Termination

10.1 Termination by You

You may cancel your subscription at any time from your account settings or by contacting support@mergeui.com. Cancellation takes effect at the end of the current billing period. You will retain access to Pro features until that date and will not be charged thereafter.

10.2 Termination by MergeUi

We may suspend or terminate your account, with or without notice, if you materially breach these Terms, engage in fraudulent or illegal activity, or use the Service in a way that creates risk or legal exposure for MergeUi or other users. Sections that by their nature should survive termination (including License restrictions, IP, Disclaimer, Liability, Indemnification, and Governing Law) will survive.

Some jurisdictions do not allow exclusion of certain warranties, so some of these exclusions may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERGEUI AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MERGEUI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

Nothing in these Terms limits liability that cannot be limited under applicable law (including liability for gross negligence, willful misconduct, fraud, death, or personal injury caused by our negligence, and statutory consumer rights).

14. Governing Law and Dispute Resolution

Nothing in this Section affects any non-waivable consumer-protection rights you have under the law of your country of residence.

15. Changes to These Terms

Continued use of the Service after the effective date constitutes acceptance of the updated Terms; if you do not agree, you must stop using the Service and may cancel your subscription.
